In the contribution we analyse the legal institution of the transfer of a company in a liquidation bankruptcy. After a brief analysis of the reasons that make the preferred choice of the settlement by assignment, trying to frame the legal institution under the bankruptcy law and coordinate in with the company law and law of financial markets.
