La nota discute due temi tratti dalla sentenza in commento. Il primo riguarda il nesso causale nella responsabilità da inesatte informazioni al mercato. La nota approfondisce le conclusioni cui giunge la sentenza, cioè che l’informazione al mercato sull’esistenza di un rischio di errore contabile corregge l’asimmetria informativa e recide, anche se poi l’errore è accertato, il nesso causale. Il secondo riguarda i rapporti tra la SICAV, i comparti in cui è articolato il suo patrimonio e la società esterna designata per la loro gestione e le loro implicazioni in termini di legittimazione ad agire. La nota conclude che spetta alla SICAV, in quanto titolare dei comparti, la legittimazione ad agire per I danni da essi subiti e il potere della società di gestione ad agire in nome e per conto della SICAV si articola diversamente a seconda non solo della tipologia di delega ma anche della ricostruzione del rapport tra SICAV e gestore. The comment discusses two themes drawn from the ruling. The first concerns the cause-effect relationship in liability, cases for misrepresentation to the market. The comment elaborates on the conclusions reached in the ruling, that the information to the market about the existence of a potential accounting mistake corrects the information asymmetry and breaks the causal link, even though the mistake is later ascertained. The second concerns the relations between the ICVC, the sub-founds into which its capital is divided, and the company appointed to manage them and their implications in terms of legal standing. The note concludes that it is the ICVC, as owner of the sub-funds, that has standing to sue for the damages suffered by them and the management company may sue in the name and on behalf of the ICVC depending on the type of outsourcing and also on the characterization of the relationship between the ICVC and the management company.
