Con i provvedimenti annotati, le Sezioni Unite affrontano la tematica del forum shopping nell'insolvenza transfrontaliera e della superabilità della presunzione ex art. 3 del Regolamento (UE) n. 848/2015, riconoscendo in capo alle società insolventi l'onere di dimostrare, con prova piena articolata su elementi sostanziali, l'effettività del trasferimento all'estero della sede legale (e quindi del center of main interest, c.d. COMI). La nota di commento fornisce una disamina dei principali orientamenti sul riparto dell'onere probatorio tra creditore e debitore, soffermandosi altresì sui presupposti applicativi e sui limiti all'esercizio dei poteri officiosi del Giudice. With the decisions here in comment, the Supreme Court deals with the issue of forum shopping in cross-border insolvency cases and the rebuttal of the presumption stated in the article 3 of Regulation 2015/848/EU, by recognizing on the insolvent company the burden of a full and complete proof that the company's legal seat (and then the center of main interest) has been effectively transferred in another State. The comment focuses on the main orientations on the burden of proof between creditor and debtor. At the end, a brief overview is dedicated to the Court's investigation powers and their field of application.
